Should you be using the Service on behalf of your organization, your acceptance of these Terms constitutes a confirmation that you have the authority to bind that organization to all provisions set forth herein.
DocuSeal reserves the right to amend or update these Terms at any time at our discretion. We will make reasonable efforts to inform you of such changes. Modifications will become effective as soon as they are posted on our website. It is your responsibility to regularly review the Terms to stay informed of any updates. If we introduce significant modifications, we will attempt to notify you by prominent notice on our website or by sending an email to the address associated with your account.
Your continued use of the Service after modifications have been posted will constitute your acceptance of those changes. If you do not agree to the updated terms, you must cease using the Service upon the effective date of such modifications.
DocuSeal provides a comprehensive online eSignature platform. Our Service includes functionalities that allow users to create, upload, manage, and securely sign digital documents with the use of electronic signatures.
Every user can access services based on the specific plan chosen during the registration process. Moreover, the particulars of the service will be detailed within the respective plan you select, hence understanding the features and constraints of our Service according to your selected plan is crucial to ensure that our offerings meet your individual or organizational needs.
Users are solely responsible for any data or content they upload, create, manage, or share through the Service. You must only provide content that you have the legal right to use and share, ensuring that you comply with all applicable laws and regulations.
To create an account, you must be eighteen (18) years or older, and during the registration process, provide complete, accurate, and current information. You must also maintain the accuracy and completeness of this information throughout your use of the Service. If you provide any information that is untrue, inaccurate, not current, or incomplete, upon becoming aware, we reserve the right to suspend or terminate your account without liability.
You bear the responsibility for maintaining the confidentiality of your account login and password. It is essential that you also safeguard this information to prevent unauthorized access. Any activity undertaken on your account will hold you accountable. Thus, in the event of unauthorized use of your account or any other breach of security, you must notify DocuSeal immediately. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
Any acts performed through your account, including the submission or transmission of any User Content or documents, will yield that you are assuming full responsibility for that content, its legality, and adherence to relevant laws.
All fees for subscription plans must be paid in full before you can begin utilizing our Service. Users are required to provide valid payment details upon subscribing to a plan. The fees are charged in advance on a recurring basis, according to the billing cycle laid out in your selected subscription plan—this could either be monthly or annually. API, SMS and other usage-based fees are paid monthly at the end of your usage-based billing cycle.
By providing your credit card information or other payment details, you authorize DocuSeal to charge you for any fees associated with your selected subscription plan. You acknowledge that all fees are non-refundable, and there will be no refunds issued for partial months or unused services, unless specified by us. In this regard, the subscription fees cover the specification of usage limits and services applicable to your account.
DocuSeal reserves the right to change subscription fees at any time. If we do decide to implement a fee change, we will notify you in advance of its enactment, and changes will take effect at the beginning of the next billing cycle following the notification.
By using the Service, you retain all ownership rights to your documents and other related materials (“User Content”) that you upload or create while utilizing the Service. You are solely responsible for maintaining the legality of your User Content, its reliability, and appropriateness, thereby ensuring that it adheres to all laws and regulations relevant in your jurisdiction.
When you use the Service, any User Content that you provide must not infringe upon the rights of any third party. This provides assurance that you must have all necessary rights, licenses, and permissions for any materials that you upload or create within our Service.
Your data, including but not limited to your personal information and stored documents, is protected under our comprehensive Privacy Policy. This policy explains how we collect, use, disclose, and protect your information, and it is recommended that you read our Privacy Policy at docuseal.com/privacy for more clarity on this matter.
Subject to your compliance with these Terms, DocuSeal grants you a limited, non-exclusive, non-transferable license to use the Service for your intended and relevant business purposes. This license extends to interactions with our services solely for internal use following the terms laid out herein.
You are expressly forbidden from using the Service for any unlawful activity. Furthermore, you are prohibited from exploiting our Service to promote goods or services that are considered unlawful. This includes any attempt to intercept or use another individual's account information or engage in activities deemed harmful to the Service or its users.
Your right to access and use the Service is contingent upon your strict compliance with these Terms, restrictions noted, and all applicable laws. Any breach of these obligations or significant deviation from acceptable use may lead to the suspension or termination of your access to the Service, reflecting the urgency of outlined compliance.
Our Fair Use Policy is designed to ensure that all users have a consistent, reliable experience. While we do not set fixed usage limits, excessive use of resources that significantly impacts service performance for other users may result in a review of your account. We reserve the right to limit, suspend, or terminate accounts that abuse our services beyond what is considered fair and reasonable usage, in accordance with our terms of service.
We provide a simple cancellation process. Instructions for cancellation can be found in your account settings. If you decide to cancel the Service before the conclusion of your current paid period, the cancellation will take effect at the end of the ongoing billing cycle, and no further charges will be applied.
At any time, you have the option to delete your account and all associated data. When you choose to delete your DocuSeal account, all data will be permanently deleted.
DocuSeal retains the right to terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms or partake in activities that may abuse the interests of other users or DocuSeal itself. This termination may lead to the removal of all associated data from the Service.
DocuSeal provides the Service on an “as-is” and “as-available” basis. We expressly disclaim any and all warranties of a commercial nature, express or implied. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement with respect to the Service and the information, content, documents, and services provided within it.
Furthermore, DocuSeal does not guarantee that the Service will be accessible, uninterrupted, error-free, or free of defects. By using our Service, you acknowledge and agree that you are doing so at your own risk and that you will be solely responsible for any damages that may arise from your use.
Additionally, please understand that DocuSeal does not provide any legal or qualified professional advice, and the utilization of the Service does not create any form of attorney-client relationship.
In no event shall DocuSeal, its affiliates, nor any of their respective officers, directors, employees, agents, or suppliers be liable to you for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause, arising from the use of or inability to use the Service. This includes lost profit, data, or goodwill, also without regard to whether we were advised of the possibility of such damages in advance.
Our maximum liability to you, for all claims arising in connection with your access to and use of the Service, shall be deemed limited to the total amount that you have paid to DocuSeal during the twelve (12) months preceding the claim. Undertaking a known risk while utilizing the Service relates directly to how this Terms Agreement is structured, especially in limiting the responsibilities and liabilities of DocuSeal.
By agreeing to these Terms, you agree to defend, indemnify, and hold harmless DocuSeal, its affiliates, and their respective officers, directors, employees, agents, and others from any claims, damages, losses, liabilities, costs, or expenses arising directly or indirectly from your use of the Service, or your violation of these Terms, or any applicable laws or regulations.
This obligation to indemnify extends to ensuring that DocuSeal's interests are protected in the face of third-party claims or lawsuits which arise from behavior directly linked to your use of the Service. This protection may encompass litigation costs incurred in defending any such claims and in resolving disputes associated with your actions.
By using our Service, you further agree that you will not settle any matter without obtaining our prior written consent. DocuSeal, under this agreement, reserves the right to assume the exclusive defense and control of any claims, and you agree to cooperate in defending any such claims.
These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict-of-law principles. Any legal proceedings arising from or related to these Terms and the Service shall be exclusively brought in the appropriate federal or state courts located in the state of Delaware.
Should a dispute arise, both parties agree to resolve the matters through binding arbitration, which will be governed by the rules of the American Arbitration Association. You agree to the necessity of resolving disputes on an individual basis and acknowledge the waiver of any right to pursue arbitration as part of a class action.
Prior to initiating any legal proceedings or arbitration, the parties shall engage in good faith discussions to attempt to resolve any disputes amicably. This endeavor emphasizes mutual cooperation and understanding before applying further legal remedies.
These Terms constitute the entirety of the agreement between you and DocuSeal concerning your access to and use of the Service, superseding all prior or contemporaneous understandings or agreements.
If any provision within these Terms is determined to be invalid or unenforceable by a competent jurisdiction, that provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.
No failure to exercise, or delay in exercising, any right or remedy under these Terms shall constitute a waiver of such right or remedy, nor shall it preclude or restrict any further exercise of any right or remedy.
